REGISTERED OFFICE FACILITY
For companies that either trade from home or do not have suitable premises or who simply wish to have an impressive address to put on their stationary, we can provide either our Birmingham office address or we can offer a prestigious London address in the Docklands as the Registered Office of your Company. This service also includes the forwarding of official mail received (Companies House, Inland Revenue, etc.) at no extra cost.
COMPANY SECRETARY FACILITY
Ideally for companies who only have one person involved (sole traders who wish to turn Limited, or individuals who do not wish to involve family members or others as a secretary, or for any other reason) or for companies where there are two or more directors but none of them wishes to be Secretary, RAF can offer the service of a corporate secretary for a company. In this respect, we can sign certain documentation on behalf of the company (a Bank Mandate form when opening a company Bank Account, for example), as well as receiving official documentation for the company and forwarding it on to you and ensuring that relevant documentation relating to Companies House (Annual Returns, etc.) are filed on time.
PLEASE NOTE: This service is only available in conjunction with our Registered Office facility.
NOMINEE DIRECTOR FACILITY
For Companies where a level of anonymity is required for any reason, RAF can offer a Corporate Company Director facility. This is a service offered by very few other Formation Agents in this Country!
ACCOMMODATION FACILITIES
RAF have two prestigious addresses in Birmingham and the Docklands in London, through which we can offer the facility for our professional, efficient & courteous staff to receive and forward on your mail and/or faxes.
COMPANY NAME CHANGE
As mentioned earlier in this brochure, name changes are available on our Readymade companies, but we can provide the service of changing a company’s name at any time during its existence. Our service in this respect includes the re-printing of Memorandum and Articles of Association as well as the new Certificate of Incorporation.
INCREASE IN SHARE CAPITAL
RAF Incorporate all new companies with the Authorised Share Capital required but we can also Increase the Share Capital of a company at any time during it’s existence, producing all the related documentation for filing at Companies House and providing new Memorandum and Articles.
CONSUMER CREDIT LICENCE
Depending upon the nature of business carried on by a company, it may need to obtain a Consumer Credit Licence from the Office of Fair Trading. Activities that would require this include such things as the hire and leasing of goods, hire purchase or installment sales of goods, offering finance or loans etc. RAF can offer advice on this and can apply for a licence on your behalf.
COMPANY SEAL
Although a company seal is no longer required by law to endorse company documents, RAF can provide one if required. This tool is effectively the “signature” of the company and can be used to endorse documents such as property deeds, share certificates, etc.
NAMEPLATE
A company’s Registered Office must by law display some form of nameplate in the company name. This is needed in order to make people (clients, suppliers, etc.) aware that those particular premises are the Registered address of the company so that documents can be served, business transacted, etc., at that address. RAF can supply these in various sizes and materials. Please enquire for costs.
COMPANY SEARCHES
RAF are able, through their extensive network, to offer full company searches quickly and efficiently so that a company’s Annual Return, Accounts, Shareholders, Memorandum and Articles of Association, etc., can easily be accessed. Searches for individual details can also be done on any of the above as well as Registered Office address, Mortgage and/or Debenture Register, Conveyancing searches, etc.
TRADE MARK SEARCH / REGISTRATION
When your Company Name is Registered at Companies House, you have the security of knowing that no other Company can then set up in that Name. However, if the Company Name, or any other name or words you use within the Company for trading purposes, is used for the purpose of being synonymous with something, a Brand or product for example, then to Register that name or words as a Trademark, via the Patent Office, offers valuable protection against theft, or ‘copying’, by a third party. RAF can carry out searches of the Patent Office database to ensure the availability of a proposed Mark for you.
RAF can also apply on your behalf to actually get a Trade Mark of your own. We take care of every step of the process from initial application through to full Registration. The costs for this service can vary depending on the individual requirements, but you can be assured that we will give you the best value for your requirements.
PATENTS
As with Trademarks, Patents are Registered through the Patent Office. Patents are usually used to represent things such as Inventions, or the Manufacturing processes of devices, machinery, etc, or formulas, secret processes, ingredients, etc.
RAF can apply for these on your behalf. Again, costs vary depending on circumstances.
WEB DESIGN, HOSTING & DOMAIN REGISTRATION
In the current age of online trading, many Companies today require an Internet presence, as well as traditional trading means. In this regard, a Domain Name is something that must be considered as well as a Company Name.
RAF can check availability for and Register a Domain Name on your behalf as well as the subsequent design and hosting of your Company’s website that the Domain name will represent.
Prices again vary depending on what is required, but we undertake to provide outstanding value for money.
NOTARY & APOSTILLE SERVICES
These services are usually required where a UK Registered Company carries on trading activity in another Country.
Often, the Authorities or other bodies within that Country with whom the Company wishes to trade, request to see documentation (often, the Incorporation documents), to validate the authenticity of the Company and it’s officers.
The widely approved format for such documents is a Legalisation endorsement (or ‘Apostille’) issued by the Foreign and Commonwealth office of the British Government.
However, before one of these are issued, the Foreign office require that the documents be ‘Notorised’ by a Notary Public (a special type of Solicitor).
RAF can take care of both the Notarisation and Apostille of all documents you may need for your Company in such circumstances.
